Terms of Service

ColdCalcs provides a set of preliminary engineering sizing calculators for industrial refrigeration equipment, including, without limitation, PRELIM (ASME VIII-1 vessel wall-thickness sizing), Vessel Sizer, HPR/Thermosyphon Sizer, and the Coil Suite (Subcooler, Boil-out, and Heat Recovery sizing).

The Service performs calculations from the inputs you provide and displays the results on screen. Paid plans additionally let you save calculations and export them as PDF reports (see Payments, credits & subscriptions below). The Service is a calculation tool intended to support preliminary, conceptual-stage sizing work — it is not a design, drafting, fabrication, permitting, or engineering-services product.

THE SERVICE AND EVERY CALCULATION RESULT IT PRODUCES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY — INCLUDING, WITHOUT LIMITATION, ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, RELIABILITY, OR NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF DEFECTS, OR THAT ANY CALCULATION RESULT IS ACCURATE, COMPLETE, CURRENT, OR SUITABLE FOR ANY PARTICULAR PROJECT, SITE CONDITION, JURISDICTION, OR APPLICATION. YOU USE THE SERVICE, AND RELY ON ANY RESULT IT PRODUCES, ENTIRELY AT YOUR OWN RISK.

Every result the Service produces is a preliminary sizing calculation only. It must be independently reviewed and verified by a qualified, licensed engineer before being used for design, construction, fabrication, procurement, or installation, in accordance with the applicable edition of ASME BPVC VIII-1, ASHRAE 15, and IIAR-2, and any other code, standard, or regulation that governs your project and jurisdiction.

Nothing in the Service, this website, or any report it generates constitutes engineering services, a professional engineer (PE) review, PE sealing or stamping, or certification of compliance with any code or standard. ColdCalcs is not a licensed engineering firm. We do not act as the engineer of record for any user, and we do not review, approve, seal, or certify any output for any purpose. Using the Service does not create an engineer-client relationship, an engineering-services agreement, or any professional obligation on our part. You are solely responsible for obtaining whatever professional engineering review, sealing, permitting, or code-compliance verification your project requires.

The preliminary-sizing notice above is reproduced on every exported PDF report, including Team reports bearing a customer logo; that logo does not indicate certification of any result by that organization.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, COLDCALCS AND ELI WRIGHT WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF, OR INABILITY TO USE, THE SERVICE — INCLUDING ANY DAMAGES RESULTING FROM RELIANCE ON A CALCULATION RESULT THAT WAS NOT INDEPENDENTLY VERIFIED AS DESCRIBED ABOVE — EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING FROM OR RELATED TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS BEFORE THE CLAIM AROSE, OR (B) ONE HUNDRED U.S. DOLLARS (USD $100). Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the limitations above may not apply to you.

This section is a factual summary of billing terms, not marketing copy — see the Pricing page for current prices and features.

• Free — full on-screen results for every calculator, at no cost, with no account required. PDF export and saved calculations are not included.
• Report credits — one-time purchases (a single credit or a 5-pack). Each credit is redeemable for one PDF report of one saved calculation. Credits never expire. Regenerating a report for the same saved calculation with unchanged inputs within 24 hours of a paid export is free; after 24 hours, or if the inputs have changed, regenerating consumes another credit.
• Pro — a recurring subscription (billed monthly or annually) covering unlimited PDF report generation and saved-calculation storage across all tools.
• Team — a recurring subscription including everything in Pro, five seats (each seat is a single named user, not concurrent access), and your organization’s logo on exported report PDFs.

All payments are processed by Stripe; we do not ourselves store your payment card details. You can view, change, or cancel a subscription at any time from your Account page’s billing portal — cancel anytime, no separate cancellation request needed. Canceling stops future billing; it does not retroactively refund amounts already charged, except where required by law.

Regardless of plan, every calculator’s full on-screen results are always available at no charge — only PDF export and the saved-calculation library are gated by plan.

Refund policy. Except where a refund is required by applicable law or expressly provided in these Terms (see Section 10), all payments to ColdCalcs are final and non-refundable. Because the Service delivers digital access immediately upon purchase:

• (a) Report credits are non-refundable once purchased; unused credits never expire and remain available in your account.
• (b) Pro and Team subscriptions are billed in advance for each billing period and are non-refundable for the current period; you may cancel at any time to stop future billing, cancellation takes effect at the end of the current paid period, and you retain access until then.

Nothing in this policy limits any non-waivable statutory refund or cancellation rights you may have under the consumer-protection laws of your jurisdiction (for example, statutory withdrawal or cooling-off rights), which continue to apply where required. If you believe you were billed in error or have a concern about a charge, please contact us at info@coldcalcs.com before disputing the charge with your bank or card issuer, and we will work in good faith to resolve it promptly. You acknowledge that you agreed to these Terms and to the applicable charge at the time of purchase.

You agree not to:

• use the Service for any unlawful purpose or in violation of any applicable law or regulation;
• represent a Service-generated result as having been independently verified, professionally reviewed, PE-sealed, or code-certified when it has not been;
• reverse-engineer, decompile, scrape, or extract the underlying calculation engine or its source code, or use automated means to access the Service beyond normal interactive use;
• interfere with or disrupt the integrity, security, or performance of the Service; or
• use the Service to infringe the intellectual property or other rights of any third party.

We may suspend or terminate access for any account that violates this section.

We may update these Terms from time to time to reflect changes to the Service or for legal, regulatory, or operational reasons. For material changes — including changes to fees, billing, or your rights — we will provide notice by email to the address associated with your account and/or a prominent notice in the Service at least 14 days before the change takes effect. Changes to prices or billing take effect no earlier than your next renewal date. Your continued use after a change takes effect constitutes acceptance of the revised Terms; if you do not agree with a revised version, you should stop using the Service.

The Service is intended for professional and business use by users who are 18 years of age or older. By using the Service you represent that you meet these requirements.

Some features, including saved calculations and purchases, require an account. You agree to provide accurate account information, keep your credentials secure, and notify us at info@coldcalcs.com of any unauthorized use. You are responsible for activity under your account.

The Service, including the calculation engine, website, and report templates, and all associated intellectual property, is owned by Eli Wright and his licensors. You retain ownership of the inputs you provide and may use the reports you export. You grant us a limited license to process your inputs solely to operate and provide the Service. You may not use our name, logo, or content except as permitted by these Terms. If you send us feedback or suggestions, we may use them without restriction or obligation to you.

We may modify, suspend, or discontinue any part of the Service at any time. Where practicable, we will give reasonable advance notice of changes that materially reduce the functionality of a paid plan. If we discontinue the Service entirely, our sole obligation with respect to unused report credits is a refund of the amount paid for those unused credits, which is your exclusive remedy. If you have a prepaid subscription when the Service is discontinued, we will refund the unused portion of the current billing period on a pro-rata basis.

These Terms, and any dispute arising out of or relating to them or the Service, are governed by the laws of the State of Texas, without regard to conflict-of-laws principles. Before filing any claim, you agree to contact us at info@coldcalcs.com and allow thirty (30) days to resolve the issue informally. Venue for any dispute lies in the state and federal courts located in Tarrant County, Texas, and each party consents to the personal jurisdiction of those courts.

To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless Eli Wright and his agents and contractors from and against any third-party claims, demands, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Service or of any result it produces, including any use of a result without the independent professional verification required by Section 3; (b) your breach of these Terms; or (c) your violation of any law or the rights of any third party. We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which case you agree to cooperate with our defense. This section survives termination.

If any provision of these Terms is held unenforceable, the remaining provisions remain in effect. These Terms, together with the Privacy Policy, are the entire agreement between you and us regarding the Service. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. Our failure to enforce any provision is not a waiver. There are no third-party beneficiaries of these Terms. Notices to you may be sent to the email address on your account; notices to us should be sent to info@coldcalcs.com. Sections 2, 3, 4, 9, 11, 12, and this Section 13 survive termination. Neither party is liable for delays or failures caused by events beyond its reasonable control, except for payment obligations.
